AGAPE ONE – NON-EXCLUSIVE BEAT LICENSE AGREEMENT

This Agreement becomes effective immediately upon purchase and download of the Licensed Material from Agape One. By purchasing, downloading, or using the Licensed Material, the Licensee agrees to the following terms and conditions.
1. Grant of License
The Licensor grants the Licensee a non-exclusive, non-transferable, royalty-free license to use the purchased instrumental (“Licensed Material”) in the creation of one new musical composition (“New Song”). The Licensor retains full ownership and copyright of the Licensed Material.
2. Rights Granted
The Licensee may: Record vocals over the Licensed Material. Distribute the New Song on streaming platforms, social media, mixtapes, and digital stores. Use the New Song in music videos, live performances, and promotional content. 3. Restrictions
The Licensee may not: Resell, lease, sublicense, or redistribute the Licensed Material as standalone audio. Claim ownership of the Licensed Material. Register the instrumental composition by itself with any PRO or Content ID system. Use the Licensed Material for unlawful or defamatory purposes. 4. Producer Credit
Where commercially reasonable, the Licensee agrees to credit the Producer as: “Produced by Agape One.”
5. Sample Clearance
If the Licensed Material contains third-party samples, the Licensee is solely responsible for obtaining any necessary sample clearances for commercial use. The Licensor is not liable for claims arising from unauthorized sample use.
6. Ownership
The Licensor retains all rights, title, and ownership of the Licensed Material. This Agreement grants usage rights only and does not transfer copyright ownership.
7. Termination
Failure to comply with these terms may result in termination of this license agreement.
8. Acceptance
Purchase, download, or use of the Licensed Material constitutes acceptance of this Agreement.
